01Definitions

“Service” – the Project Supermind software and related online services, features, and content provided by us on a subscription basis.

“Subscription” – your paid plan (monthly, annual, or other period) that grants access to the Service.

“Account” – your user account including login credentials, profile information, and subscription details.

“User” – an individual you authorize to use the Service under your Account (e.g. your employee or agent).

“Your Data” – data and content you input or generate using the Service (e.g. business documents, process data, user communications).

02Eligibility

You must be at least 18 years old and have the legal capacity to enter into this agreement. Organizations registering for an account must ensure they have the authority to bind the organization to these Terms.

03Account Registration & Security

You agree to provide true, accurate, and complete information when creating an Account. Keep your credentials secure and update your information as needed.

You are responsible for all activities occurring under your Account. Notify us immediately if your credentials are compromised.

04Subscription Plans, Billing & Payment

Subscription Activation: Your subscription begins upon payment and activation. Plans, features, and pricing are described on our website and may change with notice. Each subscription is for your internal business use only.

Billing: Subscription fees are billed in advance by the plan you select (monthly, annual, etc.). All fees are non-cancelable and fees paid are non-refundable. This means we generally do not provide refunds or credits for any partial-period or unused subscription time.

Taxes: Subscription fees exclude applicable taxes (e.g. GST, service tax). You are responsible for all taxes arising from your subscription. We may invoice you for any taxes we are required to collect.

Payment Failure: If a payment fails (e.g. credit card declined), we may suspend or terminate your access to the Service until payment is made.

05Cancellation & No-Refund Policy

Cancellation: You may cancel your subscription at any time via your account settings or by contacting support. Cancellations take effect at the end of the current paid billing cycle. After cancellation, you may continue to use the Service until the cycle ends, but will not be charged further.

No Refunds: We do not provide refunds after purchase. All subscription fees are final upon payment. There are no refunds or prorated credits for partial use or unused time (for example, if you cancel mid-term). This policy applies to monthly and annual subscriptions alike.

Legal Exceptions: The only exceptions are if required by applicable law (for example, certain consumer laws in your jurisdiction may mandate limited refunds). If such an exception arises, we will comply.

06License & Use Restrictions

License Grant: Subject to these Terms, we grant you a non-exclusive, non-transferable, limited license to access and use the Service for your internal business purposes only.

Restrictions: You agree not to copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works of the Service; use the Service to infringe any law, third-party rights, or process data unlawfully; allow any third party (other than your authorized Users) to access the Service; use the Service in excess of your purchased plan limits (users, usage, data storage) without purchasing additional capacity; or use any automated means (bots, scripts) to access the Service.

Compliance: You will use the Service in compliance with all applicable laws, including data protection laws, export control, and industry regulations.

07Data Processing & Privacy

Data Use: We will collect, process, and use Your Data to provide, maintain, and improve the Service. This includes using your data to authenticate you, fulfill your requests, provide support, and optimize AI agents.

Privacy Policy: Our practices for collecting and handling data are described in the Privacy Policy below. By using the Service, you consent to the collection and processing described there.

Data Security: We implement reasonable technical and organizational measures to protect Your Data. Data is stored on secure cloud servers (e.g. AWS, Azure, Google Cloud). Despite security measures, we cannot guarantee against all breaches or data loss.

Cross-Border Transfer: Your Data may be stored and processed outside your country (for example, in data centers around the world). We will comply with applicable laws governing international data transfers.

08Intellectual Property

Our IP: All title and intellectual property rights in the Service, software, documentation, and content (not including Your Data) are owned by Lucentra Labs Pvt. Ltd. or its licensors. We reserve all rights not expressly granted in these Terms.

Your Content: You retain ownership of Your Data and content. You grant us a license to use and host Your Data only as necessary to provide the Service. You represent that you have rights to the data you upload.

Feedback: If you provide feedback or suggestions, you grant us a perpetual, royalty-free, worldwide license to use and implement that feedback.

09Confidentiality

Each party agrees to protect the other’s confidential information. Your confidential information includes Your Data; our confidential information includes non-public aspects of the Service and business information. Neither party will disclose the other’s confidential information except to employees or contractors on a need-to-know basis, and only for performance of this Agreement.

10Disclaimers & Warranties

No Warranties: The Service is provided “as is” and “as available.” Except as required by law, we disclaim all warranties (express or implied) regarding the Service’s performance, reliability, or fitness for a particular purpose. We do not guarantee uninterrupted or error-free operation.

No Liability for Business Decisions: We do not guarantee any particular outcome from using the Service. You are responsible for how you use the AI agents and for any decisions you make based on the Service.

11Limitation of Liability

To the maximum extent permitted by law, our liability is limited. Lucentra Labs Pvt. Ltd. and its affiliates will not be liable for indirect, incidental, special, or consequential damages (including loss of profit, data, or business opportunity) arising from your use of the Service. Our total liability for claims arising from the Service or these Terms will not exceed the total Subscription fees you paid in the 12 months preceding the claim.

12Indemnification

You agree to indemnify and hold harmless Lucentra Labs Pvt. Ltd. and its officers, directors, and employees from any claims, damages, or losses arising out of your misuse of the Service, violation of these Terms, or infringement of any third-party rights.

13Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from or related to these Terms or your use of the Service will be subject to the exclusive jurisdiction of courts in Delhi, India (unless another jurisdiction is required by law).

14Changes to These Terms

We may update these Terms. Material changes will be posted on our website with the effective date. If we make material changes, we will notify you (for example, by email or notice on the Service). Continued use of the Service after changes means you accept the new Terms.
